Agreement to these Terms. We are CMarie Productions ("Company," "we," "us," "our"), located at 1024 Bayside Dr. Ste 165, Newport Beach, California 92660, United States. These Terms of Service ("Terms") govern (a) your access to and use of our website at https://cmarieproductions.com and any pages, content, and forms we operate there (the "Site"), and (b) your purchase of any product or service from CMarie Productions through the Site, a checkout page, or an invoice, except where a dedicated service agreement applies.

By accessing or using the Site, you agree to these Terms. By checking the acceptance box at checkout, clicking to complete a purchase, or paying an invoice, you agree to these Terms, and that action constitutes your execution of this agreement with the same legal force and effect as your signature on a written contract. If you do not agree, do not use the Site and do not complete a purchase.

The purchase of certain CMarie Productions products and services may be governed by dedicated service terms and conditions applicable to that service, together with the applicable document(s), invoice, and/or payment link. If these Terms conflict with the dedicated service terms for a service you purchase, the dedicated service terms control for that engagement.

  • Use the Site in any way that violates applicable law or regulation

You agree to provide current, complete, and accurate purchase and account information for all purchases. Fees are due as stated on the applicable checkout page, offer document, or invoice. We have no obligation to deliver a product or begin a service before payment is received.

Late payments on invoiced amounts may incur a late fee of 1.5% per month (or the maximum permitted by law, whichever is less). We may suspend or terminate delivery for non-payment.

We reserve the right to refuse any order at our sole discretion. We may also correct any errors or mistakes in pricing, even if payment has already been requested or received.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CMARIE PRODUCTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCT OR SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF YOU HAVE NOT PAID CMARIE PRODUCTIONS ANY AMOUNT, OUR TOTAL LIABILITY SHALL BE ZERO DOLLARS ($0), TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

CERTAIN US STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY.

12. Indemnification

You agree to defend, indemnify, and hold harmless CMarie Productions, including its officers, agents, partners, and employees, from any third-party claims arising from: (1) your use of the Site or any product or service in violation of these Terms or applicable law; (2) materials you provide that infringe third-party intellectual property rights; (3) your breach of these Terms; or (4) your representations and warranties.

13. Privacy Policy

We host our services and data in the United States. If you access the Site or our services from other jurisdictions, you consent to the transfer and processing of your data in the United States.

14. Governing Law and Dispute Resolution

Governing Law

These Terms and any disputes arising from them are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles.

Informal Negotiation

The parties agree to attempt in good faith to resolve any dispute through direct negotiation before pursuing formal dispute resolution.

Binding Arbitration

If informal negotiation fails, any unresolved dispute (except as carved out below) will be finally and exclusively resolved by binding arbitration administered by JAMS or a comparable arbitration provider in Los Angeles County, California, in accordance with its commercial arbitration rules. The arbitration may be conducted in person, by phone, or online. The arbitrator's decision will be in writing and may be entered as a judgment in any court of competent jurisdiction.

YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.

Class Action Waiver

Any arbitration or legal proceeding shall be limited to the dispute between the parties individually. No arbitration or proceeding shall be joined with any other proceeding, and no claim shall be brought as a class action, collective action, or representative action.

Exceptions to Arbitration

The following disputes are not subject to binding arbitration: (a) any dispute seeking to enforce, protect, or concerning the validity of intellectual property rights; (b) any dispute related to allegations of theft, piracy, invasion of privacy, or unauthorized use; (c) any claim for injunctive or equitable relief; and (d) any claim within the jurisdiction of small claims court, which either party may bring in small claims court.

Time Limit on Disputes

No dispute brought by either party related to these Terms shall be commenced more than one (1) year after the cause of action arose.

Attorneys' Fees

The prevailing party in any arbitration or legal proceeding shall be entitled to recover reasonable attorneys' fees and costs.

15. Corrections

There may be information on the Site or in our offer documents or marketing materials that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and similar information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time, without prior notice.

16. Electronic Communications and Signatures

Visiting the Site, sending emails, completing online forms, checking boxes at checkout, and paying invoices constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing.

Checking the acceptance box at checkout, clicking to complete a purchase, or paying an invoice constitutes your electronic signature and your execution of this agreement, with the same force and effect as a handwritten signature on a written contract.

YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS. YOU AGREE THAT CHECKING THE ACCEPTANCE BOX AT CHECKOUT, COMPLETING A PURCHASE, OR PAYING AN INVOICE CONSTITUTES YOUR SIGNATURE AND EXECUTION OF THIS AGREEMENT.

You hereby waive any rights or requirements under any laws which require an original signature or non-electronic records.

17. Modifications

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date above, and material changes affecting active purchasers will be communicated in writing. Your continued use of the Site or our services after changes are posted constitutes acceptance of the updated Terms.

18. Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government action, labor disputes, internet outages, third-party platform outages, or pandemics.

19. Entire Agreement and Severability

These Terms, together with any applicable offer document, dedicated service terms, and paid invoice, constitute the complete agreement between the parties regarding the Site and the products and services purchased, and supersede all prior agreements, representations, and understandings, whether written or oral.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to exercise or enforce any right or provision shall not operate as a waiver of that right or provision. There is no joint venture, partnership, employment, or agency relationship created between you and CMarie Productions as a result of these Terms. Except as expressly provided in these Terms, there are no third-party beneficiaries to this agreement.
